Freeware End-User License Agreement (EULA) of mbFXWords, "the Software", 16.08.2020

This End-User License Agreement is a legal agreement between you and Marc Buelow, further named "txt-soft.com". This EULA agreement governs your acquisition and use of our mbFXWords software directly from txt-soft.com or indirectly through a txt-soft.com authorized distributor. The Software is not sold, it is licensed. Please read this agreement carefully before completing the installation process and using the mbFXWords software. It provides a license to use the mbFXWords software free of charge and contains warranty information and liability disclaimers. By clicking "accept" or installing and/or using the mbFXWords software, you are confirming your acceptance of the software and agreeing to become bound by the terms of this agreement. If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this agreement, do not install or use the Software, and you must not accept this agreement. This agreement shall apply only to the software supplied by txt-soft.com herewith regardless of whether other software is referred to or described herein. The terms also apply to any txt-soft.com updates and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant:

txt-soft.com hereby grants you a personal, non-transferable, non-exclusive licence to use the mbFXWords software on your devices in accordance with the terms of this agreement. You can install on as many computers you like for commercial and non commercial puproses. You are permitted to load the mbFXWords software under your control. You are responsible for ensuring your device meets the minimum requirements of the mbFXWords software.

You are not permitted to:

- Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software under this license nor permit the whole or any part of the Software under this license to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things. Excluded hereof are all parts of the software that are open source, see "lic" and "lic-src" directories and within the program menu "Help/about" and the Internet links provided there.
- Reproduce, or resell the Software, sublicense, rent or lease the Software.
- Allow any third party to use the Software on behalf of or for the benefit of any third party.
- Submit so called fake-applications (toolbars, screensavers or e-books with no valuable content, ...) that exist only on a hidden page (not reachable from main page) and that only exist to get you backlinks to your webpage.
- Use the Software in any way which breaches any applicable local, national or international law.
- Use the Software for any purpose that txt-soft.com considers is a breach of this EULA agreement.

Distribution:

You are hereby licensed to make as many copies of the freeware version as you wish and distribute it to anyone provided that all files are intact. You must distribute the install form of the freeware version (not the files resulting of an installation). You are not allowed to sell the freeware version or to receive a fee for shipment and handling charges.

Intellectual property and ownership: txt-soft.com shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of txt- soft.com.

Warranty disclaimer:

The SOFTWARE is supplied "AS IS". txt-soft.com disclaims all warranties, expressed or implied, including, without limitation, the warranties of merchantability and of fitness for any purpose. The user must assume the entire risk of using the Software.

Disclaimer of damages:

txt-soft.com assumes no liability for damages, direct or consequential, which may result from the use of the Software, even if txt-soft.com has been advised of the possibility of such damages.

Third Party Software:

The software uses open source software. All rights for these packages belong to their authors. Excluded of this agreement are all parts of the software that are open source, see "lic" and "lic-src" directories and within the program menu "Help/about" and the Internet links provided there. Indemnification:

You will defend, indemnify, and hold us harmless from and against any actual or threatened suits, actions, proceedings (at law or in equity), claims, damages, payments, deficiencies, fines, judgements, settlements, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees, costs, penalties, interest, and disbursements) arising from or related to any conduct with respect to your use of the mbFXWords software or violation (or alleged violation) of these Terms.

Changes to the mbFXWords software:

txt-soft.com reserves the right in our discretion to review, improve, change or discontinue, temporarily or permanently, the mbFXWords software and/or any features, information, materials or content on the mbFXWords software with or without providing notice to you. txt-soft.com will not be liable to you or any third party for any changes or discontinuance of the mbFXWords software or any part of the mbFXWords software.

Termination:

This EULA agreement is effective from the date you first use the Software and shall continue until terminated. It will also terminate immediately if you fail to comply with any term of this agreement. Upon such termination, the licenses granted by this agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this agreement.

Governing Law:

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Hamburg, Germany.
